Privacy Policy

Context

TerraMines is a for-profit legal entity under the provincial (Quebec) regime that processes personal information in the course of its activities. TerraMines operates in the water treatment and environmental sector for the mining industry and municipalities. This policy aims to ensure the protection of personal information and to govern how TerraMines collects, uses, communicates, retains, destroys, or otherwise manages it. In addition, it aims to inform all interested individuals about how TerraMines processes their personal information. It also covers the processing of personal information collected by TerraMines using technological means. 2. Application and Definitions This policy applies to TerraMines, including its officers, employees, consultants, and any person who otherwise provides services on behalf of TerraMines. It also applies to the TerraMines website, as well as to all websites controlled and maintained by TerraMines. It covers all types of personal information managed by TerraMines, whether it is information about its clients, potential or current, its consultants, its employees, its members or any other person (such as visitors to its websites or otherwise). For the purposes of this policy, personal information is information that relates to an individual and that allows, directly or indirectly, that individual to be identified. For example, this could be the name, address, email address, telephone number. Sensitive personal information is information for which there is a high degree of reasonable expectation of privacy, e.g. health information, banking information, biometric information, sexual orientation, ethnic origin, political opinions, religious or philosophical beliefs, etc. Generally speaking, a person’s professional or business contact information does not constitute personal information, for example, a person’s name, title, address, email address or work telephone number. More specifically and for the sake of clarity, within the meaning of the 1 Act respecting the protection of personal information in the private sector of Quebec, and as of September 22, 2023, sections 3 (collection, use, communication), 4 (retention and destruction) and 6 (data security) do not apply to a person’s information relating to the exercise of a function in a business, such as their name, title, function, as well as their work address, email address and telephone number. These same paragraphs also do not apply to personal information that is public information under the law, as of the entry into force of this policy.

Collection, Use and Disclosure

Most services, including access to websites, and services we offer require us to collect only a limited amount of data. In such cases, we will ask you to provide us with your name and a means of contacting you (such as a telephone number or email address). If you are a current or potential business partner, we collect basic data about the individuals we communicate with, such as their names, titles, and contact information. If you apply to work with TerraMines, we will collect the data you provide to us through our websites, by email, or otherwise, such as your resume and forms you may complete. TerraMines will also inform individuals, at the time of collecting personal information, of any other information collected, the purposes for which it is collected, and the means of collection, in addition to other information to be provided as required by law. TerraMines applies the following general principles regarding the collection, use and disclosure of personal information: Consent: ⦁ Generally, TerraMines collects personal information directly from the individual concerned and with their consent, unless an exception is provided by law. Consent may be obtained implicitly in certain situations, for example, when the individual decides to provide their personal information after being informed by this policy about the use and disclosure for the purposes indicated therein. Therefore, this policy and the information it contains may be consulted by the individual concerned at the time of collection of personal information. 2 ⦁ Normally, TerraMines must also obtain the consent of the individual concerned before collecting their personal information from third parties, before disclosing it to third parties or for any secondary use thereof. However, TerraMines may act without consent in certain cases provided for by law and under the conditions provided for by law. The main situations where TerraMines may act without consent are indicated in the relevant sections of this policy. Collection: ⦁ In all cases, TerraMines only collects information if it has a valid reason to do so. In addition, the collection will be limited to the necessary information needed to fulfill the intended purpose. ⦁ Please note that TerraMines’ services are not intended for minors. Retention and Use: ⦁ TerraMines ensures that the information it holds is up-to-date and accurate at the time it is used to make a decision regarding the individual concerned. ⦁ TerraMines may only use an individual’s personal information for the reasons indicated herein or for any other reasons provided at the time of collection. As soon as TerraMines wants to use this information for another reason or purpose, new consent must be obtained from the individual concerned, which must be expressly obtained if it concerns sensitive personal information. However, in certain cases provided for by law, TerraMines may use the information for secondary purposes without the individual’s consent, e.g. : ⦁ when such use is clearly for the benefit of that individual; ⦁ when necessary to prevent or detect fraud; ⦁ when necessary to evaluate or improve safeguards and security measures. ⦁ Limited access. TerraMines implements measures to limit access to personal information only to employees and persons within its organization who are authorized to access it and for whom this information is necessary in the performance of their duties. TerraMines will seek the individual’s consent before granting access to any other individual. 3 Communication: ⦁ Generally, and unless an exception is indicated in this policy or otherwise provided for by law, TerraMines will obtain the consent of the individual concerned before disclosing their personal information to a third party. In addition, when consent is required and when it concerns sensitive personal information, TerraMines must obtain the explicit consent of the individual before disclosing the information. ⦁ Communication outside Quebec: Personal information held by TerraMines may be communicated outside Quebec, for example, when TerraMines uses cloud service providers whose server(s) are located outside Quebec or when TerraMines does business with subcontractors located outside the province. Additional information on the technologies used: ⦁ Use of cookies Cookies are data files transmitted to the computer of a website visitor by their web browser when they visit this site and can have several uses. Websites controlled by TerraMines use cookies, in particular: ⦁ To memorize visitor settings and preferences, for example for the choice of language and to allow tracking of the current session. ⦁ For statistical purposes to understand visitor behavior, the content viewed and to enable improvement of the website. Websites controlled by TerraMines use the following types of cookies: ⦁ Session cookies: These are temporary cookies that are stored in memory for the duration of the website visit only. ⦁ Persistent cookies: These are stored on the computer until they expire and will be retrieved the next time the site is visited. Other technological means used TerraMines also collects personal information through technological means such as web forms embedded in a website controlled by TerraMines. If TerraMines collects personal information by offering a technological product or service that has privacy settings, TerraMines must ensure that these settings offer the highest level of privacy by default (cookies are not affected).

Retention and destruction of personal information

Unless a minimum retention period is required by applicable law or regulation, TerraMines will only retain personal information for the period necessary to fulfill the purposes for which it was collected. More specifically, customer data will be retained for a period of 5 years after the end of the business relationship or the last interaction with the customer. For employee information, data will be retained for 10 years after the end of employment and salary and benefits information will be retained for 7 years after the end of the tax year to which it relates. The internal policy “Data Retention Schedule” specifies the retention periods for each type of data. At the end of the retention period or when the personal information is no longer required, TerraMines will ensure: ⦁ to destroy it; or ⦁ to anonymize them (i.e. they no longer allow, irreversibly, the identification of the individual and it is no longer possible to establish a link between the individual and the personal information) to use them for serious and legitimate purposes. The destruction of information by TerraMines must be done securely, in order to ensure the protection of this information. The destruction will be carried out in accordance with internal security policies (Monitoring Measures, Policy on the Retention and Destruction of Personal Information). This section may be supplemented by any policy or procedure adopted by TerraMines concerning the retention and destruction of personal information, if applicable. Please contact the TerraMines Privacy Officer (indicated in this policy in section 9) for more information.

TerraMines Responsibilities

Generally speaking, TerraMines is responsible for the protection of the personal information it holds. TerraMines’ Privacy Officer is the CEO of the company as identified in Section 9. He or she must, generally speaking, ensure compliance with applicable legislation regarding the protection of personal information. The officer must approve the policies and practices governing the governance of personal information. More specifically, this person is responsible for implementing this policy and ensuring that it is known, understood, and applied. In the absence or inability of this officer to act, the Director of Operations of TerraMines will assume the functions of the Privacy Officer. TerraMines personnel who have access to personal information or are otherwise involved in its management must ensure its protection and comply with this policy. The cybersecurity roles and responsibilities of TerraMines employees throughout the personal information lifecycle are governed by the internal security guidelines “Staff Security Roles and Responsibilities.”

Data security

TerraMines has implemented and maintains reasonable security measures to ensure the protection of the personal information it manages. The security measures in place correspond, among other things, to the purpose, quantity, distribution, medium and sensitivity of the information. This means that information that can be classified as sensitive (see the definition provided in section 2) must be subject to more significant security measures and must be better protected. In particular, and in accordance with what was previously mentioned concerning limited access to personal information, TerraMines must implement the necessary measures to impose constraints on the rights of use of its information systems so that only employees who need access to them are authorized to do so.

Rights of access, rectification and withdrawal of consent

To exercise their rights of access, rectification or withdrawal of consent, the person concerned must submit a written request to this effect to the TerraMines Privacy Officer at the email address indicated in section 9. Subject to certain legal restrictions, the persons concerned may request access to their personal information held by TerraMines and request its correction in the event that it is inaccurate, incomplete or ambiguous. They may also request the cessation of the dissemination of personal information concerning them or the de-indexing of any hyperlink attached to their name allowing access to this information by technological means, when the dissemination of this information contravenes the law or a court order. They may do the same, or require that the hyperlink allowing access to this information be re-indexed, when certain conditions provided for by law are met. The TerraMines Privacy Officer must respond in writing to these requests within 30 days of the date of receipt of the request. Any refusal must be justified and accompanied by the legal provision justifying the refusal. In these cases, the response must indicate the remedies available under the law and the time limit for exercising them. The person in charge must help the requester understand the refusal if necessary. Subject to applicable legal and contractual restrictions, the individuals concerned may withdraw their consent to the disclosure or use of the information collected. They may also ask TerraMines what personal information it has collected from them, the categories of individuals at TerraMines who have access to it, and how long it will be retained. Portability of personal information For the portability of personal information, you can send a request to the person in charge of personal information identified in section 9 and they will send you the template to complete to formalize this type of request. The data will be provided in a structured, commonly used, and readable format as specified by Law 25.

Complaint handling process

Reception Any individual who wishes to file a complaint regarding the application of this policy or, more generally, the protection of their personal information by TerraMines, must do so in writing by contacting the TerraMines Privacy Officer at the email address indicated in the following section. The individual must provide their name, contact information, including a telephone number, as well as the subject and reasons for their complaint, providing sufficient details for it to be assessed by TerraMines. If the complaint is not sufficiently specific, the Privacy Officer may request any additional information they deem necessary to assess the complaint. Processing TerraMines undertakes to treat any complaint received confidentially. Within 30 days of receiving the complaint or of receiving any additional information deemed necessary and required by the TerraMines Privacy Officer to process it, the latter must evaluate it and provide a reasoned written response by email to the complainant. This evaluation will aim to determine whether TerraMines’ processing of personal information complies with this policy, any other policies and practices in place within the organization and applicable legislation or regulations. In the event that the complaint cannot be processed within this timeframe, the complainant must be informed of the reasons for the extension, the progress of the processing of their complaint and the reasonable time required to provide them with a definitive response. TerraMines must create a separate file for each complaint addressed to it. Each file contains the complaint, the analysis and documentation supporting its evaluation, as well as the response sent to the person who originated the complaint.
